1. Acceptance of Terms

By accessing and using the UGC India platform ("the Service"), operated by UGC India ("we," "us," or "our"), you accept and agree to be bound by these Terms of Use. If you do not agree to these Terms, please do not use the Service.

2. Description of Service

UGC India is a marketplace platform that connects brands with content creators (UGC creators) in India. The Service enables users to:

  • Brands: discover and hire vetted UGC creators for content campaigns
  • Brands: manage campaigns, review content submissions, and release payments via an escrow wallet
  • Creators: apply to campaigns, submit video/photo content, and receive earnings
  • Connect Instagram and Facebook accounts for social media scheduling and automation
  • Connect Gmail accounts for email marketing and outreach campaigns
  • Access analytics, quotations, invoices, and campaign reporting

The Service is provided "as is." We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. User Accounts and Registration

To use our Service, you must:

  • Be at least 18 years of age, or the age of majority in your jurisdiction
  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.

4. User Obligations

You agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms
  • Comply with all applicable laws and regulations, including platform-specific terms of Instagram, Facebook, and Google when using those integrations
  • Not use the Service to violate any rights of others
  • Not attempt to gain unauthorized access to the Service or related systems
  • Not interfere with or disrupt the Service or servers connected to the Service
  • Not use automated systems to access the Service in a manner that sends more requests than a human could reasonably produce
  • Not misrepresent your identity, brand, or credentials on the platform

5. Prohibited Uses

You may not use the Service:

  • For any illegal or unauthorized purpose
  • To violate any applicable third-party platform terms (Instagram, Facebook, Google, etc.)
  • To spam, harass, or harm other users, creators, or third parties
  • To transmit viruses, malware, or other harmful code
  • To scrape or collect data from the Service without authorization
  • To impersonate any person, brand, or entity
  • To engage in any activity that could damage, disable, or impair the Service
  • To submit fraudulent payment disputes or chargebacks
  • To circumvent or attempt to circumvent the platform's escrow or payment system

6. Third-Party Platform Integrations & Compliance

The Service optionally integrates with Meta (Instagram/Facebook) and Google (Gmail) APIs. When using these integrations, you agree to comply with the respective platform's policies:

  • Instagram's Terms of Use and Community Guidelines
  • Meta's Platform Policy and API Terms of Use
  • Google API Services User Data Policy
  • Gmail's Acceptable Use Policy

Any violation of third-party platform policies may result in suspension of your connected account on that platform. UGC India is not responsible for such consequences.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by UGC India and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UGC INDIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

10. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

13. Governing Law

These Terms shall be interpreted and governed by the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in India.

14. Payments, Wallet & Billing

UGC India uses Razorpay (Razorpay Software Private Limited, a licensed payment aggregator regulated by the Reserve Bank of India) to process all payments securely. By making a payment on the Platform, you authorise UGC India to charge your selected payment method for the stated amount.

  • All wallet top-up transactions are processed in Indian Rupees (INR). The coin balance credited to your wallet corresponds to the INR amount paid.
  • We do not store your card, UPI, or bank account details on our servers. All sensitive payment data is handled exclusively by Razorpay.
  • Prices, packages, and coin values are subject to change at our discretion. Changes will not affect wallet balances already credited.
  • You are responsible for ensuring that sufficient funds are available for payment and that your payment method is valid and authorised.

15. Wallet Terms

  • The UGC India Wallet is a prepaid instrument that holds coins (INR equivalent) for use on the Platform. Coins have no cash value outside the Platform.
  • Wallet coins can only be used to fund campaigns on the Platform and cannot be transferred to another user.
  • When a brand launches a campaign, the applicable coin amount is locked from the available wallet balance. Locked coins are held in escrow and released to creators upon approved content delivery.
  • Locked coins are non-refundable. Once coins are locked against a campaign, they cannot be returned to the available balance or refunded, regardless of whether the campaign is paused or cancelled.

16. Cancellation & Refund Policy

Our complete Cancellation & Refund Policy is available at ugccontent.in/refund-policy. Key terms are summarised below:

  • Wallet top-ups are refundable within 3 calendar days of the credit date, provided the balance has not been locked against a campaign. Refund requests must be sent to team@ugccontent.in.
  • Subscription fees are refundable within 3 calendar days of the billing date, provided the subscription features have not been actively used.
  • Funds locked against campaigns are strictly non-refundable under any circumstances.
  • Bonus coins issued under promotional packages are non-refundable.
  • Approved refunds are processed back to the original payment method within 5–10 business days.

17. Subscription Services

Certain features of UGC India may be offered on a subscription basis. By subscribing:

  • You authorise us to charge the applicable subscription fee to your payment method on each billing cycle (monthly or annually, as selected).
  • Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.
  • You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No pro-rated refunds are provided for mid-cycle cancellations beyond the 3-day refund window.
  • We reserve the right to modify subscription pricing with at least 30 days' notice. If you do not agree to the new pricing, you may cancel before the effective date.

18. Payment Disputes & Chargebacks

If you believe a transaction is unauthorised or erroneous, please contact us at team@ugccontent.in before initiating a chargeback with your bank or card issuer. We will investigate and resolve valid disputes promptly. Initiating a chargeback without contacting us first may result in suspension of your account.

19. Third-Party Payment Processor

Payments are processed by Razorpay Software Private Limited. Your use of Razorpay is subject to Razorpay's Terms & Conditions and Privacy Policy. UGC India is not responsible for errors or outages on Razorpay's systems.
